Most hotel owners are experienced real estate developers or institutional investors and generally can be expected to be skillful contract negotiators. However, given the peculiarities of hotel management agreements and the seeming intractability of negotiators (typically in-house lawyers) for the management companies, many owners settle for contractual terms that deprive them of essential rights that they should retain as a prerogative of ownership. Some owners accept onerous terms in hotel management agreements simply because they lack prior experience with these agreements and do not know what provisions are ‘negotiable’ and what provisions truly are not.
