Selling and Buying an Existing Hotel - Structure of an Asset Transaction

On June 28, UNITE-HERE, an amalgamation of the Union of Needletrades, Industrial and Textile Employees and the Hotel Employees and Restaurant Employees International Union, launched an operation called the “Informed Meetings Exchange (INMEX).” Structured as an allegedly independent union affiliate, INMEX will serve as an on-line clearinghouse of information pertaining to hotels that offer convention space. Through its website at www.inmex.org , INMEX will provide meeting and convention planners with information relating to the track records of various hotels regarding labor disputes, workplace discrimination and treatment of immigrant workers.

Those of us engaged in providing legal services to the hotel industry, particularly to developers of ‘greenfield' hotel and resort projects, have focused much attention to the peculiar issues involved in developing condo-hotels and branded resort communities. I recently represented the purchaser of an existing branded limited service hotel in the United States and found this project to be a welcomed return to basics. It was a straight forward transaction, structured as an asset sale and purchase, rather than a stock deal, that is, the sale and purchase of the entity that owns the hotel. The Purchase and Sale Agreement (“PSA”) was typical for an asset sale and purchase agreement where any business changes hands as an asset sale, and, of course, it contained provisions necessary to address the specific hotel-related aspects of the deal. A review of the PSA and may be useful to you given the frequency of this kind of existing hotel sale and purchase.

Harassment Training Seminar

SAVE THE DATE: February 8th and 9th, 2007

Periodic harassment training for supervisors has always been a good idea; now it is required by law. AB1825 (Now Government Code Section 12950.1) requires that all California employers with 50 or more employees provide at least two hours of harassment avoidance training to all supervisors once every two years. Moreover, new supervisors or newly promoted supervisors must receive the required training within six months of hire or promotion. This training is mandatory for any supervisor who hires, fires, disciplines, and/or directs the work of one or more other employees.
